Terms of Service (B2B)

These Terms of Service (“Terms”) govern access to and use of Sitewai’s services (the “Service”). By using the Service on behalf of a company or organization (“Merchant”), you represent that you have authority to bind that Merchant to these Terms. This is a business-to-business agreement.

1) Overview & Scope

Sitewai provides a lightweight interface for automated assistants to discover products and initiate draft-only checkout flows (e.g., Shopify Draft Orders / WooCommerce Pending Orders). The Service returns an invoice/payment URL; payments occur on the Merchant’s domain. Sitewai does not process payments, act as a payment facilitator, or act as seller of record.

Consumer carve-out. Sitewai contracts only with Merchants (B2B). Sitewai does not contract with, sell to, or support end consumers; consumer purchases are governed by the Merchant’s terms and policies on the Merchant’s website.

2) Key Definitions

  • Merchant: The store owner or business using the Service to make its products legible to assistants.
  • Assistant/Agent: Automated client that reads discovery tags/sitemaps and may call draft-only endpoints.
  • Content: Merchant catalog, product data, and related materials provided to or generated through the Service.
  • Draft-only: A non-charging flow that yields an invoice/payment URL; final checkout and payment happen on the Merchant’s site.

3) Accounts & Eligibility

Merchant shall provide accurate account information and safeguard credentials. Merchant is responsible for all activity under its account.

4) The Service

  • Discovery: lightweight <meta> tags and a per-domain product sitemap (no theme breakage required).
  • Checkout: a draft/pending order endpoint that returns an invoice or payment URL.

Sitewai may improve, modify, or discontinue features at any time; some features may be offered in beta.

5) Merchant Responsibilities

  • Merchant remains the seller of record and is responsible for pricing, taxes, inventory, shipping, and refunds.
  • Merchant will expose discovery tags only on domains it controls, keeping platform configuration accurate (host + path).
  • Merchant will publish and comply with its own consumer-facing privacy policy and terms on its store domain.

6) Platform Integrations & Credentials

  • Shopify: Admin API access token with minimum scopes to create Draft Orders (and read products if syncing).
  • WooCommerce: REST API consumer key/secret and a correct base URL (pretty permalinks recommended).

Credentials are stored server-side and used only to provide the Service. Merchant will promptly rotate any compromised credentials.

7) Acceptable Use

Merchant will not abuse or interfere with the Service; attempt to bypass idempotency, rate limits, or abuse guards; misrepresent identities; scrape beyond the sitemap; or use the Service to build a competing product without prior written consent. Merchant will respect documented limits and headers.

8) Agent Safety Rails

  • Idempotency: Each POST /api/checkout/create must include a unique Idempotency-Key per unique request body.
  • Retries: Retry only transient errors with exponential backoff; do not retry validation/auth errors.
  • Requirements & Schema: Follow the machine-readable requirements and JSON Schema; submit only required fields.

9) Intellectual Property & Content

Merchant retains ownership of its Content. Merchant grants Sitewai a non-exclusive, worldwide, royalty-free license to host, cache, process, and display Content solely to provide and improve the Service.

10) Privacy & Data

Merchant is the controller of consumer purchase data. Sitewai acts as a service provider to the Merchant. See Privacy Policy for details on account, sync, and operational data.

11) Fees

If fees apply, they will be disclosed separately (e.g., in the dashboard or an order form). Unless required by law, fees are non-refundable.

12) Availability & Changes

Sitewai aims for reasonable availability but does not promise uninterrupted service. Sitewai may suspend or limit access to protect the Service or comply with law.

13) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SITEWAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEWAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. SITEWAI’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO SITEWAI FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT, OR (B) USD $100.

15) Indemnification

Merchant will defend, indemnify, and hold harmless Sitewai and its affiliates against claims arising from: (a) Merchant Content; (b) use of the Service; (c) breach of these Terms; or (d) violation of law or third-party rights.

16) Export & Compliance

Merchant will comply with applicable export, sanctions, and anti-corruption laws. Merchant may not use the Service if Merchant is a restricted party or in a sanctioned jurisdiction.

17) Governing Law & Arbitration (CAM — Mexico City)

These Terms are governed by the federal laws of Mexico. All disputes arising out of or relating to these Terms or the Service shall be finally resolved by arbitration administered by the Centro de Arbitraje de México (CAM) under its then-current Rules.

  • Seat (legal place): Mexico City, Mexico.
  • Language: English (documents/evidence may be in Spanish; the tribunal may request translations).
  • Tribunal: One (1) arbitrator; three (3) if the tribunal so orders given complexity or amount in dispute.
  • Interim Relief: Either party may seek provisional or injunctive measures from courts in Mexico City without waiving arbitration.
  • Confidentiality: The arbitration, including filings and award, shall be confidential to the extent permitted by law.

18) Relationship to Consumers

These Terms apply only between Sitewai and the Merchant. Sitewai does not provide services to end consumers. Consumer rights and obligations are governed by the Merchant’s policies and applicable consumer law.

19) Changes to These Terms

Sitewai may update these Terms from time to time. Material changes will be notified (e.g., via dashboard/email). Continued use after changes become effective constitutes acceptance.

20) Miscellaneous

  • Entire agreement; no waiver except in writing.
  • Assignment with notice (not to an embargoed/sanctioned party).
  • Severability; headings are for convenience only.

  • WooCommerce: claves REST (consumer key/secret) y URL base correcta (recomendado “pretty permalinks”).

Rieles de Seguridad para Agentes

  • Cabecera Idempotency-Key obligatoria en cada creación.
  • Reintentar solo errores transitorios con backoff exponencial; no reintentar errores de validación/autenticación.
  • Respetar el documento de requisitos y el JSON Schema.

Arbitraje CAM — Ciudad de México

Este Contrato se rige por las leyes federales de México. Toda controversia se resolverá en arbitraje administrado por el Centro de Arbitraje de México (CAM) conforme a su Reglamento vigente.

  • Sede: Ciudad de México.
  • Idioma: Inglés (documentos en español con traducción si el tribunal lo requiere).
  • Tribunal: 1 árbitro (3 si el tribunal lo determina por cuantía/complejidad).
  • Medidas cautelares: cualquiera de las partes podrá solicitarlas ante tribunales en Ciudad de México sin renunciar al arbitraje.
  • Confidencialidad: el procedimiento y el laudo serán confidenciales en la medida permitida por la ley.

Responsabilidad y Exoneraciones

El Servicio se ofrece “tal cual” y “según disponibilidad”. Se excluyen garantías implícitas; la responsabilidad total de Sitewai se limita al mayor de (A) los importes pagados en los 3 meses previos o (B) USD $100.
